ARMAKU SAMPLE PACK LICENSE

Issued by Armaku Pte. Ltd. (Singapore UEN 202408170W), 68 Circular Road, #02-01, Singapore 049422 (“Armaku”, “we”, “us”).
This license covers the sample pack you purchased, including all audio files, MIDI files and other content contained in it (the “Samples”). It tells you exactly what you may and may not do with them.

1. What this is, and how you accept it
This is a license granted by Armaku to you, the original purchaser of the pack (“you”). You accept it by purchasing, downloading or using the Samples from our website (armaku.com) — whichever comes first. It is a single-user license: it covers you personally (or, if purchased in the name of a company, that one company). Collaborators who want to work with the raw Samples need their own copy of the pack.
2. What we grant you
A non-exclusive, perpetual, worldwide, royalty-free license to use, edit, modify, process and combine the Samples into new musical or audiovisual works that meaningfully incorporate your own creative input (“Your Works”), and to exploit Your Works in any medium and by any means, commercially or otherwise. This expressly includes: release through labels, distributors and streaming platforms; works made for clients or employers; synchronization in film, television, games, apps, advertising and online video; live performance; and monetized social media content. Your one-time purchase price is the entire fee — no further royalties, clearance fees or payments are ever owed to us for Your Works.
3. Your Works and third parties
Once the Samples are embedded in Your Works, third parties — labels, distributors, publishers, clients, platforms and their audiences — may exploit Your Works without needing a separate license from us. You may hand stems and session files of Your Works to collaborators, engineers, clients and labels for production, mixing and release purposes. What may never change hands is the Samples themselves as standalone, usable sound material (see Section 5). The license itself is personal to you and cannot be sold, transferred or sublicensed.
4. Ownership and publishing
The Samples — the recordings and the musical material embodied in them, including MIDI — remain the property of Armaku and its licensors. Your Works belong to you. We will not assert master, publishing or royalty claims of any kind against Your Works made in compliance with this license, and you may register Your Works with collection societies, publishers and distributors as your own — provided the registration covers Your Work as a whole and never the Samples as standalone material.
5. Restrictions
a. No redistribution. You may not sell, share, upload, sublicense or give away the Samples, raw or modified, on their own or as part of any sample pack, loop kit, construction kit, preset pack, sound library, one-shot collection or similar product, free or paid.
b. Minimum transformation. Releasing a Sample with no changes or only trivial changes (a tag, a fade, a level tweak) is not one of Your Works and is not licensed.
c. No AI / machine-learning use. You may not use the Samples, in any form, to train, fine-tune, test or otherwise develop any machine-learning or generative-AI model, or include them in any dataset, whether commercial or not.
d. Content identification systems. You may not register the Samples, or works consisting predominantly of unmodified Samples, with YouTube Content ID, Meta Rights Manager or any similar fingerprinting system. If a work you register triggers claims against Armaku or against other lawful users of the same Samples, you will release those claims within five business days of notice.
e. Non-exclusivity. The Samples are licensed non-exclusively: other producers, and Armaku itself, use the same sounds. Someone else’s lawful use of the same Samples does not infringe your rights, and you agree not to bring claims on that basis.
f. Conduct. The Samples may not be used in unlawful content, and you may not suggest that Armaku or any featured artist endorses you or Your Works.
6. Warranty, liability and your responsibility
We warrant that we own or control the rights needed to grant this license. Otherwise the Samples are provided “as is” and, to the fullest extent permitted by law, we disclaim all implied warranties. If a Sample proves defective in title, your exclusive remedy is a refund of the price you paid for the pack, and our total aggregate liability under this license is capped at that price; neither party is liable to the other for indirect or consequential losses. Nothing in this section limits rights that cannot lawfully be limited under the consumer laws of your place of residence. You are responsible for, and will indemnify Armaku against, third-party claims arising from your breach of this license or your unlawful use of the Samples.
7. Termination
This license terminates automatically if you materially breach it, or if your payment is refunded, reversed or charged back. On termination you must delete all copies of the Samples and cease all further use; continued use is copyright infringement. Sections 4 through 8 survive termination.
8. General
This license is governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction over disputes arising from it, without prejudice to any mandatory consumer protections of your country of residence. It is the entire license for the pack; if any part is found unenforceable, the rest remains in force. Armaku may publish updated license versions for future sales — the version in force on your purchase date governs your purchase.
